Tata Motors has secured provisional acceptances for 87.81% of IVECO Group’s share capital, taking its potential holding to 89.42%, including the effect of treasury shares, as its takeover bid for the Italian commercial-vehicle manufacturer advances towards completion.

The results follow the close of the initial tender offer on 26 October 2026. Tata’s wholly owned subsidiary, TML CV Holdings B.V., received acceptances for approximately 238.16 million IVECO shares, exceeding the revised 80% minimum threshold.

Tata raised its offer to €14.40 per share on 9 October, valuing the transaction at approximately €3.91 billion. Final offer results are expected on 29 October, with payment for shares tendered in the initial period scheduled for 30 October, subject to the remaining conditions.

Shareholders who did not tender their shares during the initial period are expected to have another opportunity from 2 to 6 November, subject to confirmation of the provisional results and the applicable conditions.

The acquisition covers IVECO’s commercial-vehicle businesses, excluding its defence business, which is being separated from the group.

Why It Matters:

The deal could significantly expand Tata Motors’ international commercial-vehicle footprint, combining its established position in India with IVECO’s presence across European and other global markets. The next milestone is confirmation of the final results and completion of the remaining transaction steps.
